How does a Jersey company work?

A Jersey company is owned by members who appoint directors to run its affairs, with formation needing a licensed local service provider.

The company is created under the Companies (Jersey) Law 1991 and registered with the Jersey Financial Services Commission. Incorporation includes an application for Control of Borrowing (Jersey) Order 1958 consent to issue shares — a distinctive procedural step in Jersey company formation not found in most other jurisdictions.

A private Jersey company must have fewer than thirty members, with a single director and single shareholder enough for most international holding structures. Formation must run through a JFSC-licensed corporate service provider.
