How does a Vanuatu International Company work?

A Vanuatu International Company is owned by its shareholders, who appoint directors to run its affairs.

The company is created under the International Companies Act 1992 and registered through a licensed Vanuatu registered office or agent. It can hold bank accounts and investments directly, own shares in subsidiaries, and carry on international business.

A Vanuatu International Company is created under the International Companies Act 1992 through the Vanuatu Financial Services Commission. One director and one shareholder are enough and there is no public register of directors or shareholders.

  • Shareholders: own the company and hold its economic and voting rights.
  • Directors: run the company's affairs and banking relationships.
  • Registered office: keeps the company's registration and statutory records in Vanuatu.
  • Constitutional documents: set out the share structure, governance and shareholder rights.

We coordinate the entity formation, the registered office, the due diligence and the banking.

Discuss your structure

Direct Vanuatu registered office relationships

Ours are direct, licensed Vanuatu registered office and agent relationships — no referral middleman — the same team that builds Cook Islands and Nevis structures in 20+ jurisdictions.

First-hand jurisdictional knowledge

Our specialists know the practical realities of Vanuatu structuring, not generic offshore formation scripts.

Fixed-fee formation

All government fees plus first-year agent costs are built into the price — nothing hidden, no invoices you didn't expect.

Honest jurisdiction guidance

We set Vanuatu honestly against the Cook Islands and Nevis, so a jurisdiction's strengths are not mistaken for adversarial creditor defence.

Full compliance from day one

Optional legal and tax advisory keeps you in full home-country compliance — every structure is built to be reported correctly, not concealed.

Structure comparison

Vanuatu Company weighed against a Cook Islands or Nevis Company

Both are Pacific company domiciles. Cook Islands and Nevis companies are built for creditor protection and are not EU-listed. A Vanuatu International Company offers genuine zero taxation but carries the practical friction of the listing.

Purpose-built asset protection

Cook Islands or Nevis Company

Creditor protectionA dedicated statutory charging-order regime; Nevis adds a $100,000 creditor bond.
Institutional recognitionStrong and well understood, though chosen for protection rather than profile.
Best useStandalone or trust-paired creditor protection.
Important status

Vanuatu Company

Creditor protectionGeneral common law principles — no dedicated asset-protection statute.
RecognitionConstrained by the EU non-cooperative listing, reconfirmed February 2026.
Best usePacific holding and trading where the EU listing is not an obstacle.
Choose Cook Islands or Nevis ↗If your central concern is creditor protection and asset defence.
Choose VanuatuIf genuine zero taxation matters most and the EU listing does not create problems for your banking or counterparties.

Where Vanuatu leads

Genuine zero taxation in the Pacific

Vanuatu offers a genuinely tax-free company in a jurisdiction that is currently on the EU non-cooperative list, and that listing is the single most important practical fact about forming there.

Holding and trading structures where zero taxation is the priority
Owners wanting no public register and no financial statement filing
Structures unaffected by EU counterparty or banking restrictions
A 20-year exemption from registration with a flat annual fee
When another jurisdiction fits better

The EU listing, and what it costs in practice

Vanuatu has real strengths, but it is not built around dedicated creditor-protection statutes.

Vanuatu stays on the EU list of non-cooperative jurisdictions as at February 2026
Some banks decline Vanuatu entities and counterparties may apply enhanced scrutiny
The company cannot do business with Vanuatu residents
No dedicated charging-order or creditor-bond statute like the Cook Islands or Nevis
For creditor protection specifically, compare the Cook Islands Company and Nevis Company, or the Cook Islands Trust where the exposure is serious. For genuine zero taxation in the Pacific, Vanuatu is frequently the stronger fit.

What is a Vanuatu company used for?

A Vanuatu International Company is used for international holding and trading and for structures where genuine zero taxation is the priority. It cannot do business with Vanuatu residents.

Is a Vanuatu company legal?

Yes. Vanuatu International Companies are entirely legal structures. US persons must report the structure to the IRS each year on Form 5471. Vanuatu's EU listing is a tax-transparency matter, not a question of legality.

Is Vanuatu on the EU blacklist?

Yes. Vanuatu has sat on the EU list of non-cooperative jurisdictions for tax purposes since 2019 and was reconfirmed by the Council on 17 February 2026, with the next review scheduled for October 2026. This can affect banking and counterparty acceptance and trigger defensive measures in some EU member states.

How is a Vanuatu company taxed?

Vanuatu levies no personal or corporate income tax, no capital gains tax and no inheritance tax. International Companies are exempt for 20 years from registration and pay a flat annual fee instead. Your home-country tax obligations carry on in full.

Does a Vanuatu company protect assets from creditors like a Cook Islands or Nevis company?

Not to the same degree. Vanuatu has no dedicated asset-protection statute. For statutory creditor protection we recommend the Cook Islands or Nevis Company, ideally paired with a trust.

How much does a Vanuatu company cost?

Pricing is available on application and turns on the share structure, whether banking is included, and how complex the due diligence is. A written, itemised quote is provided before work begins.

How long does Vanuatu company formation take?

Usually two to five days from KYC clearance. Opening a bank account takes considerably longer and can be harder than for other jurisdictions because of the EU listing.

Is Vanuatu company ownership private?

There is no public register of directors or shareholders and no requirement to file financial statements. Beneficial ownership sits with the registered agent and is available to competent authorities under formal process.

Can a Vanuatu company open a bank account?

It is harder than for most jurisdictions. Some institutions decline Vanuatu entities because of the EU listing. We will be direct about which institutions are realistically available before you commit to the structure.

What assets can a Vanuatu company hold?

Cash and bank deposits, investment portfolios, shares in operating subsidiaries, intellectual property and real property outside Vanuatu. Every bank reviews the proposed assets and source of funds before opening an account.

What are the annual costs of maintaining a Vanuatu company?

A flat annual government fee plus registered agent and registered office costs. No financial statements or audited accounts are required. These are confirmed in writing before formation.
