A SOPARFI is not a separate legal form but a tax regime applied to a standard Luxembourg company that holds qualifying subsidiary shares.

A SOPARFI is usually set up as a Société à Responsabilité Limitée (S.à r.l.) or Société Anonyme (S.A.) before a Luxembourg notary, then registered with the Register of Commerce and Companies (RCS). It is a fully taxable Luxembourg company — the SOPARFI label reflects its use as a holding and finance vehicle, not a distinct legal entity type.

The company has to keep its registered office and genuine central administration in Luxembourg to count as tax resident, meaning real management decisions must be taken locally, not merely a registered address.
